These Terms govern your use of the Vital Labs website and your purchase of products from us. By using this site or placing an order, you agree to them. If you do not agree, do not use this site.

1. Research use only

Everything we sell is supplied strictly as a chemical reference material for laboratory research use only. Our Research Use Only Notice is incorporated into these Terms by reference and forms a binding part of your agreement with us. You must read and accept it before ordering.

Our products are not drugs, medicines, natural health products, supplements, cosmetics, food, or medical devices. They are not approved or authorised by Health Canada, the FDA, or any other regulator, and they are not intended for human or veterinary use by any route.

2. Eligibility

To order, you must be at least the age of majority in your province or territory of residence, and you must be a qualified researcher or purchasing on behalf of a research institution, laboratory, or comparable organisation.

We may require verification of age, identity, or institutional affiliation before processing or shipping an order, and may cancel and refund any order where that verification is not provided to our satisfaction.

3. Orders and acceptance

Your order is an offer to purchase. No contract exists until we send you a shipping confirmation. Until that point we may refuse, limit, or cancel any order, in whole or in part, for any reason and without stating one — including suspected resale for human use, suspected fraud, pricing or listing errors, quantity limits, or restrictions applying in your location.

Where we cancel a paid order, we refund it in full.

4. Pricing and payment

All prices are in Canadian dollars and exclude shipping and applicable taxes unless stated otherwise. GST, HST, or PST is applied at checkout where required.

We accept Interac e-Transfer and cryptocurrency. Both are manual payment methods, which means your order is not confirmed and will not be dispatched until payment is received and cleared. Orders that remain unpaid may be cancelled and the stock released.

You are responsible for sending payment to the correct details exactly as given in your order confirmation. Cryptocurrency transactions are irreversible: payments sent to an incorrect address, sent on the wrong network, or sent in a token we do not accept cannot be recovered by us and are not refundable. If you are unsure, contact us before sending anything.

We may correct pricing errors at any time before dispatch, including after an order is placed. Where a corrected price is higher, you may cancel for a full refund.

5. Shipping, title, and risk

Delivery times are estimates and not guarantees. Title and risk of loss pass to you on delivery of the goods to the carrier. Once material is in your possession you are responsible for correct receipt, storage at the stated conditions, safe handling, and lawful disposal, in accordance with ordinary laboratory safety practice.

Our Shipping Policy applies to all orders and forms part of these Terms.

6. Returns

All sales are final. We do not accept returns or exchanges, and we do not refund for change of mind. Damaged and incorrect orders are assessed case by case at our discretion. Our Refund & Return Policy sets out the full position and forms part of these Terms.

7. Product information and absence of warranty

Product names, descriptions, molecular data, and any literature we reference are provided for general scientific reference only. They describe the compound as reported in published chemical literature; they are not measurements of the individual unit supplied to you.

To the maximum extent permitted by law, products are supplied as is, without warranty of any kind, express or implied, including any implied warranty of merchantability, fitness for a particular purpose, purity, potency, composition, or non-infringement. Independently verifying the identity, purity, and suitability of any material before use is your responsibility.

8. Your obligations and prohibited conduct

You agree that you will not:

• administer any product to yourself, to another person, or to any animal;
• order on behalf of another person for human or veterinary consumption;
• resell, repackage, or redistribute any product for human or veterinary use, or represent it as fit for such use;
• use the site to circumvent any restriction applying in your jurisdiction, or in breach of any applicable law;
• provide false information at checkout or during any verification we carry out.

Accounts and orders involved in such conduct will be closed or cancelled, and we may decline to deal with you in future.

9. No medical or scientific advice

Nothing on this site, and nothing in any correspondence with our staff, constitutes medical advice, a recommendation for human use, or a protocol for administration. We do not provide dosing or administration guidance of any kind, and we decline all requests for it. We can answer questions about handling, reconstitution for laboratory purposes, storage, and orders.

10. Limitation of liability

To the maximum extent permitted by law, Vital Labs is not liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost data, or business interruption, arising out of or relating to the products or this site, whether in contract, tort, or otherwise, and whether or not we were advised such loss was possible.

Our total aggregate liability for any claim is limited to the amount you actually paid for the specific product giving rise to that claim.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including under applicable Canadian consumer protection legislation.

11. Indemnity

You agree to indemnify and hold harmless Vital Labs, its officers, employees, and suppliers against any claim, loss, liability, or expense, including reasonable legal costs, arising from your use or misuse of the products, from any administration of a product to a human or animal, or from your breach of these Terms.

12. Privacy

Our Privacy Policy explains how we handle personal information and forms part of these Terms.

13. Intellectual property

All content on this site, including text, product data, photography, and branding, is owned by or licensed to Vital Labs and may not be reproduced for commercial purposes without our written permission.

14. Changes to these Terms

We may amend these Terms at any time by posting a revised version. The version in effect at the time you place an order governs that order.

15. Governing law

These Terms are governed by the laws of the province in which Vital Labs operates and the federal laws of Canada applicable therein, without regard to conflict of law principles. The parties submit to the exclusive jurisdiction of the courts of that province.

16. General

If any provision of these Terms is found unenforceable, the remaining provisions continue in full force. Our failure to enforce any provision is not a waiver of it. These Terms, together with the Research Use Only Notice, Shipping Policy, Refund & Return Policy, and Privacy Policy, form the entire agreement between us regarding your purchase.
